On 10 April 2024 the Ministry of Industry and Information Technology issued a notice launching a pilot in selected regions to open value-added telecommunications services further to foreign investment, allowing qualifying foreign enterprises to participate in certain value-added services. The notice is not about AI, but it changes the equity and licensing preconditions for AI services operating in China.
The pilot changes access, not supervision
Value-added telecom services have long carried foreign ownership limits, and foreign companies have typically worked around them through contractual control or cooperation with a domestic entity. Opening selected services in selected regions means some companies may no longer need a complex structure and can hold the operating entity directly.
What is opened is access, not supervision. Licensing, content responsibility and data security obligations do not shrink because the shareholder is foreign. After obtaining the equity route, a company still applies for the licence that matches its business.
ICP and EDI cover different services
Information services provided to users over the internet generally correspond to an ICP licence; online data processing and transaction processing generally correspond to an EDI licence. Where an AI service falls depends on its form: a subscription service generating content for the public, a platform matching transactions online, and a tool offering API calls and data processing follow different routes.
The most common error is building the structure first and finding the licence later. The licence category determines whether the structure works; the order cannot be reversed.
More room on structure
Before the pilot, foreign AI companies operating in China often relied on contractual control or similar arrangements, which are costly and less stable. Within the services covered, direct shareholding becomes an option; outside them, existing arrangements remain.
Restructuring touches tax, foreign exchange, control and legacy contracts, not just access. A company moving from contractual control to direct shareholding should assess termination costs and employee equity arrangements before committing.
Cross-border data and service location
Foreign shareholding does not change the test for cross-border data. Whether training data, personal information and operational data leave the country is still assessed under current rules. For AI services, where inference happens often determines the data flow: local deployment, a domestic cloud service and an overseas API call each map to a different compliance path.
Order of analysis
Confirm whether the service is a value-added telecom service, identify the sub-category, check whether the pilot region and service scope cover it, and only then design the structure. Skipping a step usually means rework at filing or licensing.
